Higher Diploma in Corporate Law
Course Overview
The Higher Diploma in Corporate Law at LSCT is a Level 5 qualification within the Law & Social Sciences department, designed for paralegals, compliance staff and corporate-services professionals who want a structured grounding in UK corporate, commercial and regulatory law. The programme runs 15 to 18 months across on-campus, online and distance-learning routes from 2026, and is taught from our central London base — minutes from the Royal Courts of Justice, the Rolls Building and the major City law firms.
Across the year you move from the foundations of English contract and company law into the working machinery of UK corporate practice: directors' duties under the Companies Act 2006, M&A documentation, commercial contracts, competition law and the FCA / PRA regulatory framework that shapes financial services. By the end of the Higher Diploma in Corporate Law you will be able to read a share-purchase agreement, understand a board pack, and brief a senior solicitor on a Companies Act compliance question with confidence.
Key Features
- UK Level 5 syllabus aligned with the Solicitors Regulation Authority (SRA) Solicitors Qualifying Exam (SQE 1) content map and informed by working City paralegals.
- Anchored in CILEx (Chartered Institute of Legal Executives) progression for students taking the legal-executive route.
- Three study modes — on-campus near the Inns of Court, fully online with live commercial-drafting workshops, or distance learning with structured monthly deadlines.
- Live drafting lab — you draft a non-disclosure agreement, a board minute and a shareholders' resolution under City-style review.
- Module on UK financial regulation covering FSMA 2000, FCA and PRA rules, market abuse and the Senior Managers and Certification Regime.
- Capstone M&A simulation — students work in deal teams (legal, finance, target, acquirer) across a six-week simulated transaction.
What You Will Learn
The Higher Diploma in Corporate Law runs across seven modules and a capstone. You will graduate fluent in UK corporate-law vocabulary and able to support a transaction, compliance review or in-house legal team from your first month.
- English Contract Law and Commercial Drafting
- Company Law under the Companies Act 2006
- Corporate Governance and Directors' Duties
- M&A and Private Equity Documentation
- Commercial Contracts and Boilerplate
- UK Financial Regulation (FSMA, FCA, PRA, SMCR)
- Competition Law and CMA Practice
- Legal Research, Citation (OSCOLA) and Professional Ethics
The teaching pattern is intentionally practitioner-led. Each module pairs taught content with at least one applied exercise — a real recent judgment, a real ICO decision, a real select committee report, a real local-authority scrutiny session — and you are expected to read, brief and argue. That working rhythm gives our graduates the day-one credibility UK law firms, councils, regulators and think-tanks test at interview, and underpins our placement record.
Who This Course Is For
- Paralegals and legal assistants working towards SRA SQE qualification or CILEx progression.
- Compliance staff at FCA-regulated firms needing a structured grounding in UK corporate law.
- Company secretarial and corporate services professionals broadening into substantive legal work.
- International applicants targeting UK postgraduate law conversion (PGDL) or LLM study.
Career Pathways
Higher Diploma graduates step into paralegal, compliance and corporate-services roles across the City and the wider UK regulated economy. The Higher Diploma in Corporate Law is most often a stepping stone into qualifying work for the SQE or CILEx, but the credential opens doors on its own. Typical first roles include:
- Paralegal (corporate, commercial, banking or M&A)
- Legal Executive (post-CILEx progression)
- Compliance Officer (FCA-regulated firm)
- Trainee Solicitor (post-SQE 1 qualifying work experience)
- Company Secretarial Assistant
- In-House Legal Coordinator (FTSE-listed or mid-market)
The Higher Diploma articulates into LSCT Bachelor and postgraduate Law & Social Sciences programmes and supports SQE 1 preparation routes.
You will also build the network that underpins UK public-sector and legal careers: an alumni community across Whitehall, council policy teams, the City paralegal pipelines, the major UK think-tanks and the human-rights and immigration bar, a working tutor team drawn from current practice, and an annual industry careers afternoon at which UK recruiters take CVs and meet current students.
Entry Requirements
- An Advanced Diploma (Level 5), HND, Foundation Degree, or equivalent prior study in law, business, accounting or social science.
- Three years' relevant work experience in a legal, compliance or corporate-services role considered in lieu of academic prerequisites (mature applicants).
- English language: IELTS 6.0 overall (no band below 5.5) for non-native English speakers; strong written English will be tested at interview.
- A personal statement and one academic or professional reference, ideally from a solicitor or compliance officer.
Across the programme you engage with the actual texts and institutions UK law and social-science work runs on: statutes read in their amended form, case judgments read in full, ONS statistical bulletins read for what they do and do not show, and select committee reports dissected for the policy questions they raise. Guest sessions with working solicitors, civil servants, parliamentary clerks and policy researchers keep the programme tied to the working day of the people you will be applying to join.
Why Study at LSCT
The London School of Commerce and Technology (LSCT) is a specialist higher-education provider based in central London and part of Harold International College. We teach in small cohorts so every student is visible to their tutor, run a single intake schedule that students can rely on, and partner with UK professional bodies so qualifications carry weight with employers. London puts Whitehall, the City, Silicon Roundabout, the Royal Courts of Justice, the West End and the NHS estate within a short tube ride of every classroom — and our students use that proximity in their projects, placements and graduate job hunts. For corporate-law students, that proximity is decisive: the Magic Circle, the major US firms and the FCA all sit a short tube journey from our seminar rooms, and our drafting clinics are run by working City lawyers.
Our graduates work across UK public administration, law, policy research and the third sector — from Whitehall departments and council policy teams to the Magic Circle paralegal pipelines, the major UK think-tanks, parliamentary research and the human-rights and immigration bar. LSCT's employability team brokers introductions and runs regular evenings attended by working UK practitioners.
